    SOFTWARE LICENSE AND TERMS OF USE

    (Clickwrap Agreement)

    Effective Date: August 8, 2026

    By clicking "I Agree", you ("User") enter into this legally binding agreement with Traction Gap Partners LLC ("Company") governing your use of the Company's software platform.

    If you do not agree, do not use the software.

    1. License Grant and Licensing Scope

    Subject to payment of applicable fees and compliance with this Agreement, the Company grants the User a limited, non-exclusive, non-transferable, revocable license to access and use the software for the purpose of generating Market Engineering artifacts through the platform.

    Licenses are scoped on two levels:

    • Company License — required for each company workspace ("Company") created in the platform. A Company License grants the User and authorized members of that Company access to the licensed feature set within that Company workspace.

    • Project License — required for each Project (a distinct artifact suite, including but not limited to a Market Blueprint, Messaging Matrix, and Market Charter) created within a Company workspace. The first Project created within a newly licensed Company is included with the Company License. Each additional Project requires its own Project License.

    Company Licenses and Project Licenses are non-transferable between Companies. This license does not transfer ownership of the software.

    2. Permitted Use

    The software may be used solely for legitimate business or personal purposes to generate documents using the platform.

    Users may download, export, or save generated documents for their own internal use, subject to the access scope of the applicable Company and Project licenses.

    3. Prohibited Conduct

    Users agree NOT to:

    • Reverse engineer, decompile, or attempt to extract source code • Copy, reproduce, or redistribute the software • Scrape, harvest, or collect data from the platform • Use bots or automated systems to access the software • Attempt to gain unauthorized access to systems or data • Interfere with system security • Use the platform to generate illegal, fraudulent, or infringing materials • Remove copyright or trademark notices • Use the software to build a competing product • Circumvent Company-level or Project-level access or copy-protection controls

    Any such activity may result in immediate termination and legal action.

    4. Intellectual Property

    All software, algorithms, workflows, interfaces, trademarks, branding, and content are the exclusive property of Traction Gap Partners LLC and are protected by copyright, trademark, and other intellectual property laws.

    Nothing in this Agreement transfers ownership rights to the User.

    5. User Data and Security

    Users agree not to:

    • Attempt to access other users' data • Upload malicious code or attempt to compromise system security • Use the platform to conduct cyber attacks, probing, or scanning.

    The Company may monitor system activity for security purposes.

    Unauthorized attempts to access or misuse data may be referred to law enforcement.

    6. Data Privacy and Anonymized Use

    The Company respects the privacy of User data. The Company shall not sell, rent, lease, or otherwise commercially distribute any personally identifiable information provided by or collected from Users to any third party.

    Notwithstanding the foregoing, the User acknowledges and agrees that the Company may collect, aggregate, de-identify, and anonymize data derived from User activity on the platform—including, without limitation, document inputs, usage patterns, and generated outputs—such that it can no longer reasonably be used to identify the User or any individual ("Anonymized Data"). The Company shall own all right, title, and interest in such Anonymized Data and may use, analyze, publish, license, or distribute it for any lawful business purpose, including but not limited to market research, product improvement, benchmarking, and the creation of derivative analytical works, at the Company's sole discretion.

    This Section shall survive termination or expiration of this Agreement.

    7. Generated Documents

    Documents generated using the software are provided as tools or templates.

    The Company:

    • Does not guarantee legal validity or suitability • Is not responsible for how documents are used • Is not responsible for errors in user-supplied information

    Users are responsible for reviewing and verifying all generated materials.

    8. AI-Generated Content Disclaimer

    The platform utilizes third-party artificial intelligence and large language model ("LLM") services to generate suggestions, pre-fill content, and assist Users in creating documents. The Company does not control the underlying AI models or their training data.

    The Company:

    • Makes no representation or warranty that AI-generated content is free from errors, inaccuracies, or materials that may be subject to third-party copyrights, trademarks, or other intellectual property rights • Disclaims all liability for any AI-generated output that may contain, reference, or be derived from copyrighted or proprietary third-party materials • Is not responsible for any claims, damages, or legal actions arising from the User's reliance on or use of AI-generated content

    Users acknowledge that AI-generated suggestions are advisory only and assume full responsibility for reviewing, verifying, and ensuring that any content they adopt or publish does not infringe upon the rights of any third party.

    9. User-Uploaded Materials

    Users are solely responsible for ensuring they have all necessary rights, licenses, permissions, and authorizations to upload, submit, or otherwise provide any documents, files, data, or other materials ("User Materials") to the platform. By uploading User Materials, the User represents and warrants that:

    • The User owns or has obtained all required rights to the User Materials • The use of such User Materials on the platform does not and will not infringe, violate, or misappropriate any third party's intellectual property rights, privacy rights, or any other legal rights • The User Materials do not contain any confidential or proprietary information of a third party that the User is not authorized to disclose

    The Company assumes no responsibility or liability for the content, legality, or ownership of any User Materials. The User agrees to indemnify and hold harmless the Company from any claims arising from the User's upload or use of materials to which the User does not hold sufficient rights.

    10. Feedback and Suggestions

    If the User provides any feedback, suggestions, ideas, comments, bug reports, or other input regarding the software or platform (collectively, "Feedback"), the User agrees that:

    • The Company shall own all right, title, and interest in and to such Feedback • The Company may use, reproduce, modify, distribute, commercialize, and otherwise exploit the Feedback for any purpose without restriction, attribution, or compensation to the User • The User waives any and all moral rights in the Feedback to the fullest extent permitted by law • The Feedback is provided on a non-confidential basis regardless of any designation to the contrary

    Nothing in this Section obligates the Company to use or implement any Feedback.

    11. Fees and Access Period

    Fees are charged on a per-Company and per-Project basis. The current fees, including any discounts that apply to additional Projects within an already-licensed Company, are displayed at checkout.

    For direct (non-Partner) Users:

    • The Company License fee is a one-time charge that grants lifetime access to the licensed Company workspace and includes a lifetime license for the first Project created within that Company. • Each additional Project within that Company is available for a one-time, discounted lifetime Project License fee shown at checkout.

    For Partner firms participating in the Partner Program:

    • Partner firms are billed an annual subscription fee for the firm itself. • For every client Company a Partner adds, a per-Company fee applies, payable by the Partner or passed through to the client. This per-Company fee follows the same lifetime scope as a direct Company License (lifetime access for that client Company, including its first Project). • Each additional Project within a client Company is available at the discounted lifetime Project rate specified in the Partner Program.

    "Lifetime" access means access for the operational life of the platform; it does not obligate the Company to maintain the platform indefinitely. All fees are non-refundable except where required by law and except as expressly permitted by the Company's Cancellation Policy.

    The Company may terminate access if the applicable Company License or Project License has not been paid for, or if access has otherwise expired or been revoked under this Agreement.

    12. Free Trial Period and Data Deletion

    New self-serve accounts are granted access to the free portion of the platform for a limited evaluation period (the "Free Trial Period") beginning on account creation. The default Free Trial Period is ninety (90) days. The Company may change the duration of the Free Trial Period from time to time at its discretion; the current value is displayed in the Welcome notice presented to Users on first sign-in and may be referenced in administrative settings.

    During the Free Trial Period, the User may invite team members and use all features designated as free. Features designated as licensed remain locked until the applicable Company License and Project License are purchased.

    If the account does not purchase at least one Project License before the Free Trial Period ends, the Company will permanently delete the account and all data associated with it, including but not limited to:

    • The User's Market Engineering Assessment responses • Any Market Blueprint, Messaging Matrix, Market Charter, or other artifacts created • Any uploaded files and User Materials • Team member memberships tied to the account • Audit, activity, and usage records associated with the account

    Deletion under this Section is permanent and irreversible. The User acknowledges and agrees that the Company has no obligation to retain, archive, recover, or restore any deleted account or data.

    If the User purchases a Company License (and at least one Project License) at any time during the Free Trial Period, all work product created during the trial — including artifacts, edits, uploads, and team memberships — remains intact and becomes accessible under the lifetime license without any data loss or migration step. No work created in good faith during the Free Trial Period is lost upon conversion to a paid license.

    13. Disclaimer of Warranties

    The software is provided "AS IS" and "AS AVAILABLE."

    The Company disclaims all warranties, including:

    • merchantability • fitness for a particular purpose • non-infringement • uninterrupted operation • error-free functionality

    14. Limitation of Liability

    To the fullest extent permitted by law, the Company shall not be liable for:

    • indirect or consequential damages • lost profits • lost data • business interruption • damages resulting from the use of generated documents • damages arising from AI-generated content, including content that may contain copyrighted or proprietary third-party materials

    Total liability shall not exceed the amount paid by the User for the applicable Company License and Project License(s) giving rise to the claim.

    15. Indemnification

    User agrees to indemnify and hold harmless Traction Gap Partners LLC from any claims arising from:

    • misuse of the software • violation of this Agreement • infringement resulting from user-generated content • use of AI-generated content that infringes third-party rights • upload or use of materials to which the User does not hold sufficient rights.

    16. Suspension or Termination

    The Company may suspend or terminate access immediately if a User:

    • violates this Agreement • attempts to compromise system security • engages in unlawful activity.

    17. Governing Law

    This Agreement shall be governed by the laws of the State of Oregon, without regard to conflict-of-law rules.

    Any dispute shall be resolved in courts located in Oregon.

    18. Changes to Terms

    The Company may update these Terms periodically.

    Continued use of the software constitutes acceptance of the revised terms.

    19. Entire Agreement

    This Agreement constitutes the entire agreement between the User and the Company regarding use of the software.

    Lifetime access

    Once you purchase, your access to all three Market Engineering artifacts never expires. Work at your own pace with no time pressure.

    Full refund guarantee

    You may cancel for a full refund within 30 days of purchase, as long as you haven't downloaded your first artifact or exported your data. Once any of those conditions is met, refunds are no longer available. Just go to Settings after signing in — one click, no support tickets required.

    Your Data & Privacy

    We will never share or sell any proprietary information about your company. If you choose not to upgrade beyond the free Market Blueprint, your account and all associated data will be automatically deleted after your 90-day access period expires. You'll receive an email notification when this happens. You can also request immediate deletion at any time from your dashboard.
