Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your access to and use of the Market Engineering Virtual Studio (the "Service") operated by Traction Gap Partners, LLC ("TGP," "we," "us"). By creating an account or using the Service you agree to these Terms, our Privacy Policy, our Software License Agreement, and our Cancellation Policy. If you do not agree, do not use the Service.
2. The Service
The Service provides software-assisted workflows to produce Market Engineering artifacts — including the Market Blueprint, Messaging Matrix, Market Charter, Market Manifesto, and related outputs — based on TGP's proprietary methodology and the Traction Gap Framework™.
3. Accounts, Eligibility, and Free Trial
- You must be at least 16 years old to use the Service.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- You agree to provide accurate information and to keep it current.
- Licenses are scoped by Company and by Project. A Company license is required for each company workspace. A Project license is required for each distinct Project (artifact suite) created within a licensed Company. The first Project in a newly licensed Company is included with the Company license; each additional Project requires its own Project license.
- Free trial. Self‑serve accounts may use the free portion of the Service for a limited evaluation period (the "Free Trial Period") that begins on account creation. The default Free Trial Period is ninety (90) days, but TGP may set the current value (typically displayed in the Welcome notice and in account settings) at its discretion. During the Free Trial Period, account holders may invite team members on the same terms as licensed accounts.
- Expiration of the Free Trial Period. If the account has not purchased at least one Project license before the Free Trial Period ends, the account, all team members, and all data associated with the account — including Assessments, Blueprints, uploads, and generated artifacts — will be permanently deleted. Deletion is irreversible.
- Conversion preserves your work. If the account purchases a Company and Project license at any time during the Free Trial Period, all work product created during the trial remains intact and becomes accessible under the lifetime license without any data loss or migration step.
4. Pricing, Payment, and Refunds
- Direct (non‑Partner) customers. The Company license is a one‑time fee that grants lifetime access to the licensed Company workspace and includes a lifetime license for the first Project. Each additional Project under that Company is available for a one‑time, discounted lifetime fee. Current pricing and the additional‑Project discount are displayed at checkout.
- Partner Program. Partner firms pay an annual subscription fee for the firm itself. For every client Company a Partner adds, a Company fee applies (paid by the Partner or passed through to the client) on the same payment logic as a direct customer. Each additional Project under a client Company is available at the discounted lifetime Project rate stated in the Partner Program.
- Payments are processed by Stripe. You authorize TGP and Stripe to charge your selected payment method.
- Refund eligibility is governed by our Cancellation Policy. In summary: refunds are available until the first artifact download or export by any team member on a given Project; once any download or export occurs on that Project, the team forfeits refund eligibility for that Project.
- Company and Project licenses are non‑transferable between companies. Lifetime access means access for the operational life of the Service; it does not create an obligation for TGP to maintain the Service indefinitely (see Section 12).
5. Intellectual Property
The Service, the Traction Gap Framework™, the Market Engineering methodology, all software, prompts, templates, models, branding, and documentation are the exclusive property of TGP and its licensors (including Bruce Cleveland, owner of the Traction Gap™ trademark). You receive a limited, non-exclusive, non-transferable license to use the Service for your own internal business purposes, as further defined in the Software License Agreement.
You retain ownership of the company-specific content you input ("Customer Content") and of artifacts generated from your Customer Content. You grant TGP a limited license to host, process, and display Customer Content solely to provide the Service.
6. Acceptable Use
You agree not to:
- Reverse engineer, scrape, or attempt to extract the Service's prompts, models, or proprietary methodology.
- Resell, sublicense, or provide the Service to third parties outside your company without TGP's written consent.
- Use the Service to violate any law or third party's rights.
- Upload malicious code, infringing content, or content you do not have rights to use.
- Circumvent access controls, copy protections, or refund-eligibility mechanisms.
7. AI-Generated Output
The Service uses AI models (including Google Gemini, OpenAI, and Finn AI) to generate suggestions and drafts. AI output may be inaccurate, incomplete, or inappropriate for your specific situation. You are solely responsible for reviewing and validating AI output before relying on it for business decisions.
8. Confidentiality
Each party agrees to protect the other's confidential information with at least the same care it uses for its own. Customer Content is treated as confidential. Artifacts and exports are marked CONFIDENTIAL and are intended for internal use.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TGP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TGP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TGP'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO TGP FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. TGP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA.
11. Indemnification
You agree to defend and indemnify TGP and its affiliates against claims arising from (a) your Customer Content, (b) your breach of these Terms, or (c) your violation of law or third-party rights.
12. Termination
We may suspend or terminate your access if you violate these Terms, fail to pay, or pose a security risk. You may stop using the Service at any time. Sections that by their nature should survive termination (IP, confidentiality, disclaimers, liability limits, indemnification, governing law) will survive.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Oregon, USA, without regard to conflict-of-laws rules. The exclusive venue for any dispute will be the state and federal courts located in Deschutes County, Oregon, and the parties consent to personal jurisdiction there.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via in-app notice or email. Continued use after the effective date constitutes acceptance.
